Aims

1.To examine critically the intellectual, practical and theoretical background to the concept of corporate governance in the UK and other international jurisdictions. 2.To gain an understanding of the legal nature of corporations, their operations and global corporate governance failures and the reasons for such failures. 3.To demonstrate the legal and extra-legal solutions to perceived problems with past and present corporate governance regimes. 4.To critically examine proposed future developments in and monitoring of corporate governance.

Learning Outcomes

1.
Critically evaluate, analyse and assess the nature of the legal framework, structure and regulation impacting on corporate business organisations using the exemplar of English law set against an international context.
2.
Demonstrate conceptual understanding and evidence critical evaluation, current research and advanced scholarship in the areas of international business, corporate and finance law.
3.
Conduct appropriate research through a selection of relevant theories, methodologies and techniques using primary and secondary materials.
4.
Formulate judgements and identify a range of possible solutions to a given problem.

Outline Syllabus:1. Introduction to International Corporate Governance 2. Corporate governance: Sources, failures and calls for reform 3. Director and Officer independence 4. Remuneration, nomination and tenure 5. Directors’ duties, liability, accountability and development 6. Corporate governance gatekeepers: disclosure and transparency 7. Encouraging shareholder activism and building an ethical and socially responsible corporate culture
Additional Information:This module seeks to introduce students to the intellectual and practical background of corporate governance in the UK and elsewhere. In particular, the module is concerned with the legal and extra-legal processes by which corporations are governed. The module aims to provide students with an awareness and understanding of corporate governance through the critical examination of appropriate theoretical perspectives, models and practices for developing and monitoring corporate governance compliance.
